Terms of Service

1. Acceptance

By accessing our pages, submitting an application, signing an agreement or completing a purchase, you agree to these Terms. If you are acting for a company, you represent that you are authorized to bind it. You must be at least 18 years old.

2. The Services

The YouTube Channel Growth Program is a done-for-you paid subscriber-growth service that includes campaign strategy, targeting, creative direction, campaign management and reporting for the Term, with ad spend included in the total fee. Active paid campaigns launch within fourteen (14) days of the Effective Date. Ad spend allocation, targeting methodology and cost structure are proprietary and are managed at our discretion.

3. No guarantee of results

Subscriber growth, pace of growth, revenue and eligibility for YouTube's Creator Awards depend on factors outside our control, including platform algorithms and policies, ad auction dynamics, content performance, and Google's sole discretion over award eligibility and issuance. We do not guarantee any specific subscriber count, timeline, revenue or business outcome.

4. Fees and payment

• Pay in full: $14,000 USD, due in full within 72 hours of signature, inclusive of management and ad spend.
• Payment plan: $15,000 USD total, paid as three (3) milestone payments of $5,000 USD each, at enrollment, at 100,000 subscribers or 30 days, and at redemption code issuance or 30 days after the second milestone.
• A payment is late if not received within three (3) days of its due date. A 5% late fee applies once a payment is seven (7) days late, plus 1.5% per month on any unpaid balance.
• If a milestone payment is more than ten (10) days late, the entire remaining balance becomes immediately due, and we may suspend Services and pause active campaigns.

All amounts are in US dollars and exclude any applicable taxes. You authorize us and our processors to charge the payment method you provide for the amounts you agree to.

5. Refunds and chargebacks

Fees are non-refundable and there is no cancellation for convenience, as set out in your Agreement and in our Refund Policy. A chargeback or payment reversal made without a good-faith basis after Services have commenced is a material breach, and we may pursue the full fee plus costs of collection.

6. Your responsibilities

• Add us as a Manager on your YouTube channel and an Admin on your Google Ads account, and keep that access active for the Term.
• Respond to requests for approvals, assets, budget confirmation or information within three (3) business days.
• Keep the channel in good standing under YouTube's Terms of Service and Community Guidelines.
• Do not run a competing or duplicate paid subscriber-growth campaign on the same channel during the Term without our written consent.
• Tell us in writing within three (3) business days if YouTube or Google contacts you about redemption code issuance or Creator Award eligibility.
• Ensure your content and materials are lawful and do not infringe third-party rights.

7. Intellectual property

You own your channel and all content on it. We retain ownership of our methodologies, frameworks, templates and internal tools. Ad creative, copy and assets produced specifically for your campaigns become your property on full payment of the total fee. We may reference the engagement and use non-confidential results and creative concepts in our portfolio, case studies and marketing.

8. Confidentiality

Each party will keep confidential any non-public business, strategy or financial information disclosed by the other. Our targeting methodology and cost structure are confidential and proprietary.

9. Non-circumvention

During the Term and for twelve (12) months after, you will not directly or indirectly engage a third-party provider to replicate the Services in a way that circumvents your payment obligations. This does not restrict you from engaging providers for genuinely new, unrelated marketing initiatives after the Term.

10. Limitation of liability

Except for fraud, willful misconduct, indemnification obligations or breach of confidentiality, neither party is liable for indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, lost subscribers or loss of business opportunity. Our aggregate liability is limited as set out in your Agreement.

11. Term and termination

The engagement runs for the Term stated in your Agreement unless earlier terminated for uncured material breach on ten (10) days' written notice and an opportunity to cure. Termination does not entitle you to a refund except as described in the Refund Policy or as required by law.

12. Governing law and disputes

These Terms and your Agreement are governed by the laws of the State of Florida, without regard to conflict-of-law principles. The parties will first attempt to resolve any dispute through good-faith negotiation for fifteen (15) days, and then through binding arbitration in Miami, Florida under the rules of the American Arbitration Association.

13. Website use

You may not copy, scrape, reverse engineer, resell or misuse our pages, content or materials, interfere with their operation, or use them for any unlawful purpose. Our pages are provided "as is" for informational and transactional purposes.

14. Platform independence

Fan Bridge Media is not affiliated with, endorsed by or sponsored by YouTube, Google or any other platform. Platform names and marks belong to their owners.

15. Changes

We may update these Terms; the version in effect when you purchase governs that purchase. Continued use of our pages after an update means you accept the revised Terms.
